1. Acceptance of Terms

By accessing or using Aksita.ai ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Service Description

Aksita.ai provides a no-code platform for creating, training, and deploying AI assistants. Our services include:

• AI assistant builder and management tools
• Knowledge base creation and management
• Chat widget for website integration
• REST API for custom integrations
• Analytics and usage tracking
• Multi-model AI support (Base, Plus, and Premium tiers)

3. Account Registration

To use our Service, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account
• Maintain only one account per user/organization

4. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any laws, regulations, or third-party rights
• Upload or distribute harmful, illegal, or offensive content
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to systems
• Use automated systems to access the Service without permission
• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices
• Create AI assistants that generate harmful or illegal content
• Use the Service for competitive analysis or benchmarking

5. Subscription and Billing

5.1 Paid Plans

Paid subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method for all fees.

5.2 Credits

Our service operates on a credit-based system. Credits are consumed based on AI model usage, resource processing, and API calls. Unused credits do not roll over between billing periods unless specified in your plan.

5.3 Payment Terms

• All fees are non-refundable except as required by law
• We may change our pricing with 30 days' notice
• Failed payments may result in service suspension
• You are responsible for all taxes and fees

5.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial periods.

6. Intellectual Property

6.1 Our Rights

All rights, title, and interest in the Service, including all intellectual property rights, remain with Aksita.ai. You may not use our trademarks, logos, or branding without prior written consent.

6.2 Your Content

You retain all rights to the content you upload. By uploading content, you grant us a limited license to:

• Store, process, and display your content as necessary to provide the Service
• Use your content to train and improve your AI assistants
• Create backups and derivative works for Service operation

We do not use your content to train our base models or share it with other users.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

7.1 Data Security

We implement reasonable security measures to protect your data. However, no system is completely secure. You acknowledge that you use the Service at your own risk.

7.2 Data Backups

While we perform regular backups, you are responsible for maintaining your own backups of critical data.

8. Service Availability

We strive to provide reliable service but do not guarantee:

• Uninterrupted or error-free operation
• Specific uptime percentages (except as specified in SLA for Enterprise plans)
• That defects will be corrected
• Compatibility with all devices and browsers

We reserve the right to modify, suspend, or discontinue the Service with reasonable notice.

9. Third-Party Services

Our Service integrates with third-party AI models and services (OpenAI, Anthropic, Google). Your use of these services through our platform is subject to their respective terms and policies. We are not responsible for third-party services' availability, performance, or content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We provide the Service "AS IS" and "AS AVAILABLE"
• We disclaim all warranties, express or implied
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid in the 12 months preceding the claim
• We are not liable for losses caused by third-party services, force majeure, or circumstances beyond our control

11. Indemnification

You agree to indemnify and hold harmless Aksita.ai, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or third-party rights, or (d) your content.

12. Termination

12.1 By You

You may terminate your account at any time through your account settings.

12.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Fail to pay fees when due
• Pose a security or legal risk

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days unless required to retain it by law. You remain liable for all charges incurred before termination.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Indonesia, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Indonesia.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Aksita.ai
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• No Waiver: Our failure to enforce any right or provision does not constitute a waiver
• Assignment: You may not assign these Terms without our consent. We may assign without restriction
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
